These are:

  • Elian Solutions SRL (CUI: 23037351), led by Iulian Motoi, is a company founded in 2008 and 61.68% owned by Bittnet Systems SA. Elian specializes in implementation, development and support services for Microsoft Dynamics 365 Business Central ERP (Enterprise Resource Planning) solutions. As a long-standing Microsoft partner, ELIAN held Gold Partner status until 2022 and is currently a Certified Solution Provider (CSP) for Business Applications, being a pioneer in Eastern Europe within Microsoft’s cloud partnership program. The solution implemented by ELIAN enables companies to monitor inventory, receivables and payables, forecast cash flow, track production, cost centers and more.
  • Elian Development Systems SRL (formerly Kepler Management Systems) (CUI: 21562125) operates in a similar line of business to Elian Solutions and joined the Bittnet group at the end of 2023. It is 100% owned by Elian.
  • Nenos Software SRL (CUI: 29612482), founded and led by Toader Toporău, is 61% owned by Bittnet (the remainder held by the founder). It is a custom software development company focused on Artificial Intelligence and Machine Learning (AI/ML).
  • Nonlinear SRL (CUI: 37758005) is an SPV established to access European funding, 60% owned by Bittnet and led by Mr. Toporău. Its activity focuses on product-based software development, particularly a platform for digitalization and process automation for small and medium-sized companies using low-code/no-code technologies and machine learning.

Elian

For Elian, 2025 was the best year in the company’s history in terms of total revenues generated, exceeding RON 31.6 million, up 22% compared to 2024. The revenue structure, split across three types of income, was as follows: 39% licensing revenue, 39% implementation services and 22% support services. Licensing revenue, approximately RON 12.1 million, maintained the largest share of turnover, closely followed by implementation services revenue (RON 12 million).

In 2025 we maintained our focus on large projects for significant clients, with a high number of licensed SaaS (Software as a Service) users. By the end of 2025 we exceeded the threshold of 1,000 licensed Business Central SaaS users. During the year we initiated 35 new projects, of which 23 were new implementations and 12 were upgrades to the latest Business Central versions. The total revenue generated by these projects, together with revenues from implementation projects started in 2024 and finalized in 2025, represented 39% of total turnover.

Support services revenue represented 22% of turnover (almost RON 7 million). This confirms the trend observed since the beginning of 2025 of decreasing additional requirements across the entire portfolio, with more clients opting to upgrade to the latest Business Central versions instead of investing in the development of older solutions. Approximately 75% of total upgrade projects were based on SaaS technology.

At the same time, we observed steady growth in implementation upgrade revenues generated by existing Elian clients (the 12 projects mentioned above).

Considering that the majority of projects delivered in 2025 were large-scale projects with complex workflows and long implementation periods, their handover to the support department and the generation of recurring revenues will predominantly occur in 2026, when we expect an absolute increase in support services revenue.

Regarding the Elian team, in 2025 we marked several important milestones:

  1. Consolidation of the support and maintenance team: we currently have 15 dedicated consultants handling and resolving client requests. These 15 resources are divided into two teams, each coordinated by a team leader with relevant experience. Alongside team consolidation, procedures were finalized and standardized to ensure traceability and optimal response times in handling, planning and resolving requests. The support team currently averages 300 resolved requests weekly for a portfolio of approximately 400 clients.
  2. Project Management team: 2025 was the year we built this team, ensuring a dedicated PM for each project. Prior to 2025, projects were managed by senior consultants involved in delivery. Starting in 2025, every major project has a dedicated PM. The 2025 turnover was achieved with the same implementation and development team as in 2024, with the difference being the existence of a Project Management department responsible for managing time, budget and resources, allowing consultants to focus exclusively on solution delivery.
  3. Specialization: we continued developing team competencies and certifying/recertifying Elian members. In 2025 we launched the “Elian Academy” program to support Microsoft certification for Business Central. The effects were particularly visible in the second half of the year, when project delivery performance increased significantly.
  4. 2025 was the year in which the results of previous years’ efforts became visible, marking maturity and stability. The foundations laid in prior years – operational KPIs and stabilization of the management team overseeing each department – led to improved project delivery performance.

The year 2026 is primarily about resources and team. We believe that strong partnerships supported by clear communication and strategy will sustain the achievement of 2026 financial objectives. Key directions include:

  • Project Management team development: a young team in formation, aiming to reach maturity and contribute to performance growth essential for Elian’s objectives.
  • Elian Open Doors Day: a project designed to raise awareness among clients about Elian’s support and maintenance operations – team, procedures, ticketing processes – as well as providing training on recurring support topics. The objective is to strengthen partnership relationships with portfolio clients.
  • Industry segmentation and specialization within the team, focusing on business verticals and specific solutions.
  • ERP & AI: Elian is investing in innovative AI Agent solutions for ERP across five business directions where specific needs were identified, with estimated launch in 2026.

Nenos & Nonlinear

For Nenos, 2025 was a year of accelerated maturation, as Nenos Software and Nonlinear transitioned from exploration and experimentation to delivering production-ready Agentic AI solutions with real impact. We consolidated the “product-first” strategic direction while maintaining flexibility to support complex custom projects and long-term partnerships. Major delivered projects covered clients from diverse industries (energy, pharma, insurance, horeca, FMCG, public sector), focusing on automating critical processes, reducing operational time and improving decision quality.

Operationally, the year was marked by:

  • Increased adoption of Agentic AI solutions
  • Consolidation of DeDup as a recurring revenue product
  • Organizational adjustments for efficiency and sustainability

Significant achievements in 2025: Agentic AI & Enterprise Projects

  • Oil & Gas industry – Agentic AI for automated verification of commercial contracts vs. invoices (control, reconciliation and deviation detection)
  • Pharma industry – AI Agent for analysis of RFQs and support in completing technical and financial offers (pre-sales)
  • Insurance, HoReCa, FMCG – Q&A agents powered by website data, with automated collection, interpretation and summarization of conversations to generate insights and trends
  • Healthcare – Romania – AI companion agent for collecting and classifying patient feedback, part of the national campaign “Trust Makes Us Better”, carried out together with WHO – DeDup for SharePoint
  • 243 active monthly subscription-based clients
  • Coca-Cola implemented customized DeDup globally across all subsidiaries
  • DeDup became a mature product with international adoption and recurring revenues
  • Increased complexity of Agentic AI projects beyond initial estimates
  • Shift from traditional bidding to consultative selling
  • Internal reorganization for cost control and alignment with new strategic direction
  • Market pressure: high interest in AI but low maturity in defining use cases

BID product (for tenders): The use case proved significantly more complex than estimated. Although the technical component was addressed at approximately 75%, allocated client budgets did not support the real complexity. Early involvement of an SME proved essential for accurate estimations.

Proof of concepts (POCs) as learning tools: The over 20 POCs delivered in 2025 helped us to:

  • better understand real client expectations
  • manage objections more effectively
  • more clearly define scope, impact and delivery timelines
  • improve productization processes

Key market conclusions: There is strong interest in Agentic AI, but clients need guidance to properly define use cases. The myth that “AI is magic” creates unrealistic expectations regarding costs and delivery timelines.

  • Especially in Romania, clients do not buy theory. Demos, prototypes and POCs are essential but significantly increase sales cycle cost and duration.
  • Scalability is key. Custom projects accelerated the development of reusable components, templates and accelerators to deliver faster without reinventing solutions.

Major challenges in 2025

  • Productizing Agentic AI: transitioning from custom solutions to scalable, reusable modules
  • Balancing outsourcing and products: outsourcing remains necessary for financial stability until recurring revenues mature
  • Complex consultative selling: discovery, business analysis and proper scope definition become mandatory
  • Generative AI certifications for team and organization

Strategic directions for 2026

  • transform accumulated experience into standardized products and accelerators
  • increase margins through faster delivery
  • strengthen DeDup’s position as a global enterprise product
  • develop a clear verticalized Agentic AI offering

Final conclusion: 2025 was a difficult but extremely valuable year for Nenos Software & Nonlinear. We delivered real solutions, learned from projects and laid the foundation for a sustainable long-term direction. We enter 2026 more mature, strategically clearer and better positioned to transform Agentic AI from promise into scalable value.
