BITTNET SYSTEMS S.A. (hereinafter referred to as the “Company” / “Issuer”) informs the interested parties that prior to the private placement of Softbinator Technologies SA (symbol: CODE) and for giving chance to members of the Group’s team to be part of CODE shareholding as a listed company, the main shareholders (Daniel Ilinca, Simple Capital, and Bittnet) sold a total of 59,530 CODE shares to a number of 35 individuals (employees and collaborators of the Group) and 3 legal entities, of which 2 investments vehicles from Impetum Group and Autonom Group. The transfer of shares was made at the maximum price from the placement and outside the capital market mechanism and represents 5.95% of the share capital of Softbinator Technologies. Following this transaction, Bittnet holds 188,980 CODE shares representing 18.8980% of Softbinator Technologies SA.
