During the Meeting, the investors will vote, among others, on the distribution of the \u201cstock dividend\u201d following the capitalization of past profits in the amount of over 8 million lei. The stock dividend will be accorded in the proportion of 7 free shares for every 10 shares held.<\/p>\n<p>In view of the military decree establishing the state of emergency and the preventive measures taken by the Romanian authorities, such as the limitations on the meetings of persons on the territory of Romania, the Board of Directors of the company decided to offer the Bittnet shareholders the opportunity to participate remotely in the General Meeting of the Shareholders, which will be carried out entirely online. For this purpose, the shareholders&#8217; access to the GSM meeting may be made by accessing the dedicated website, <a href=\"https:\/\/bittnet.ro\/go\/aga2020\">https:\/\/bittnet.ro\/go\/aga2020<\/a>, using either the Internet or the telephone connection, in line with the technical instructions which will displayed on the website on the day of GSM.<\/p>\n<p>All shareholders will be able to access the system from any device with internet connection. After accessing the teleconferencing system, the shareholders will be able to watch the video transmission of the GSM. Shareholders who participate by electronic means will have access to two-way real-time communication, which will allow them to remotely address and receive real-time information through the online platform. During the meeting, the shareholders participating through the webex videoconferencing system will be able to ask written questions in the dedicated chat window, and the shareholders participating by telephone will be able to ask questions directly by phone.<\/p>\n<p>\u201cDespite the current circumstances, we want to ensure that all Bittnet shareholders have an opportunity to attend the general shareholders meeting as well as engage with the management, ask questions and express their votes on all the points of the agenda. Being a technology company, we consider it imperative to benefit from the solutions that we have at our disposal in order to ensure that the rights of all our shareholders are being respected\u201d said Cristian Logofatu, Co-Founder and Member of the Board at Bittnet.<\/p>\n<p>For the electronic transmission of votes, the shareholders have two electronic online voting forms available, which will be accessible from the reference date of the General Meeting of Shareholders until the closing of the voting round announced as such by the Chairman of the meeting at the end to each of the meetings of the General Meeting of Shareholders (OGMS and EGMS respectively).
