{"id":23379,"date":"2024-02-28T18:11:50","date_gmt":"2024-02-28T16:11:50","guid":{"rendered":"https:\/\/investors.bittnet.ro\/?p=23379"},"modified":"2024-02-28T18:11:50","modified_gmt":"2024-02-28T16:11:50","slug":"board-decision-new-corporate-bond-offer","status":"publish","type":"post","link":"https:\/\/investors.bittnet.ro\/en\/board-decision-new-corporate-bond-offer\/","title":{"rendered":"Board Decision \u2013 new Corporate Bond Offer"},"content":{"rendered":"<p>BITTNET SYSTEMS SA (referred to as the &#8220;Company&#8221; \/ &#8220;Issuer&#8221; \/ &#8220;Group&#8221;) informs the investors and interested parties about the Decision of the Issuer&#8217;s Board of Directors regarding the launch of an initial public offering for sale of corporate bonds, unsecured, non-convertible, issued in Romanian currency.<\/p>\n<p>Thus, a maximum number of 150,000 bonds will be offered for sell, with a face value of 100 ron\/bond and a total nominal value of 15,000,000 ron. The main coordinates for this financial instrument:<\/p>\n<ul>\n<li>fixed annual interest: 9%, payable quarterly through the mechanism of the Central Depository<\/li>\n<li>maturity: 4 years from the issue date<\/li>\n<li>minimum subscription: 10 bonds<\/li>\n<\/ul>\n<p>Similar to the previous successfully offer (from December 2023) the buy orders will be place in an extended range price: between 94 ron and 106 ron per bond \u2013 respectively between 94% and 106% of the face value. At the end of the offer period \u2013 10 days \u2013 the Issuer will fix the sale price, according to the above-mentioned interval. Subscription orders placed at a price above the fixed price (or at the fixed price) will be accepted, while subscription orders below the fixed price will be invalidated. All accepted subscriptions will be validated at the same price (fixed price) so that all investors will buy the bonds directly from the Issuer at the same price.<\/p>\n<p>The prospectus related to the Public Offer will be submitted for the approval of the Financial Supervisory Authority, in the following period, and the Offer will start after receiving the approval from the authority.
