{"id":11757,"date":"2021-04-05T18:02:35","date_gmt":"2021-04-05T15:02:35","guid":{"rendered":"https:\/\/investors.bittnet.ro\/?p=11757"},"modified":"2021-04-05T17:24:43","modified_gmt":"2021-04-05T14:24:43","slug":"completion-of-convening-notice-egsm-27-04-2021","status":"publish","type":"post","link":"https:\/\/investors.bittnet.ro\/en\/completion-of-convening-notice-egsm-27-04-2021\/","title":{"rendered":"Completion of Convening Notice EGSM 27.04.2021"},"content":{"rendered":"<section class=\"l-section wpb_row height_small\"><div class=\"l-section-h i-cf\"><div class=\"g-cols vc_row via_flex valign_top type_default stacking_default\"><div class=\"vc_col-sm-12 wpb_column vc_column_container\"><div class=\"vc_column-inner\"><div class=\"wpb_wrapper\"><div class=\"wpb_text_column\"><div class=\"wpb_wrapper\"><p>Bittnet Systems SA (hereinafter referred to as \u201cthe Company\u201d) informs the investors about the receiving of a proposal to complete the Agenda of the Extraordinary General Meeting of Shareholders dated 27.04.2021, from a entitled shareholder, by including of a new item.<br \/>\nThis completes the agenda by adding item 12 which will have the following content:<br \/>\nApproval of the authorization of the Board of Directors of the Company that within a period of 3 years from the date of the authorization it may decide to increase the share capital, through one or more issues of shares with a value not exceeding half of the subscribed share capital, existing at the time of authorization, and consequently the approval of the amendment of art. 10.19.8 of the Articles of Incorporation, which will have the following content:<br \/>\n\u201cFor the attribution provided at point f) the delegation of attributions is granted for a period of 3 (three) years from the date of the decision of the general meeting of shareholders, in accordance with the provisions of art. 85, alin.2 of the Law no. 24\/2017 regarding the capital market.\u201d<br \/>\nThe proposal was made by Mr. Cristian Logofatu, shareholder of the Company with a holding of 11.26% of the share capital and of the voting rights according to art. 117^1 alin. (1) of the Companies Law no. 31\/1990, art. 92 para. (3) and (5) and art. 106 of Law no. 24\/2017 and art. 189 and art. 225 para. (1) of the FSA Regulation no. 5\/2018.<br \/>\nThe rest of the items on the Extraordinary General Meeting of Shareholders Agenda for 27.04.2021 at 12:00 o&#8217;clock according to the published Convening Notice, remain unchanged.<br \/>\nThe agenda of the Ordinary General Meeting of Shareholders convened for 27.04.2021 at 11:00 o&#8217;clock according to the published Convening Notice, remains unchanged.<\/p>\n<p><a href=\"https:\/\/investors.bittnet.ro\/wp-content\/uploads\/2021\/04\/CR22-current-report-engl-2021.pdf\">RC22\/05.04.2021<\/a><\/p>\n<\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/section>\n","protected":false},"excerpt":{"rendered":"Bittnet Systems SA (hereinafter referred to as \u201cthe Company\u201d) informs the investors about the receiving of a proposal to complete the Agenda of the Extraordinary General Meeting of Shareholders dated 27.04.2021, from a entitled shareholder, by including of a new item.
